Alma: Terms and Conditions

These Terms and Conditions (the "Terms") are a binding agreement between you and Memfold AI Inc., a Delaware corporation doing business as Alma ("Alma", "we", "us", "our"), 2261 Market Street STE 85610, San Francisco, CA 94114, United States.
They govern your use of Alma: our applications, our website, the services behind them, every capability we make available through them now or later, and any related software, documentation and support (together, the "Service").
By downloading, installing or using Alma, or by creating an Alma account, you agree to these Terms and to the Privacy Policy, which forms part of this agreement. If you do not agree, do not use the Service.
If you use Alma for an organisation, you confirm you are authorised to bind it, and "you" means both you and that organisation.
1. What Alma is
Alma is a new interface to your computer. Today it supports real time voice dictation with generative edits, voice prompting, and the surrounding features that make those work well.
Alma is under active development. What it does at the date above is not a fixed list, and these Terms govern each capability as it arrives.
Alma requires an Apple silicon Mac running macOS 14 or later, and macOS permissions you grant yourself. Processing happens in Alma's cloud.
2. Eligibility
You must be at least 18 years old to use Alma anywhere in the world, and older where the age of majority where you live is higher. You must be able to enter into a binding contract.
Alma is a general audience tool. It is not directed to children and is not marketed to them. Our single worldwide minimum sits above every national digital consent age, including the 13 to 16 range EU member states set under Article 8 of the GDPR, the United Kingdom's 13, and the 13 at which the US Children's Online Privacy Protection Act applies, so no part of the Service relies on parental consent and we offer no parental consent route.
If we learn that a user is under 18 we will close the account and delete the personal data associated with it. Parents and guardians can write to support@memfold.ai.
3. Accounts and devices
Alma's hosted features need an account. Sign in is handled by our identity provider, by emailed code or by signing in with Google.
Keep your credentials secure, give accurate information, and tell us at support@memfold.ai if your account is used without your permission. You are responsible for activity on your account, and we are not responsible for losses caused by your failure to secure it or to report a problem promptly. One account is for one person.
Alma registers the Macs you sign in on so you can manage them in Settings.
4. Alma is free right now
There is no charge for Alma as of the date above. We do not sell subscriptions, we do not ask for a payment method, and we collect no payment or billing details.
Hosted use is metered against a free allowance so we can manage what the Service costs us to run. The allowance is a grant, not a purchase. It has no cash value, is not transferable, and cannot be redeemed for cash. Quotas and rate limits apply, and hosted processing pauses when an allowance or limit is reached.
Free access is provided as it is, and we may change, limit or end it at any time. We do not promise any particular allowance.
If we introduce charges we will tell you first, and we will not charge you without your agreement to the price and terms. Any paid plan would be described to you before you buy, would renew automatically at the then current price until you cancel, would be cancellable with effect from the end of the current period, would be exclusive of taxes, and would be handled by a third party payment processor, so we would never hold your full card details. Except where the law requires otherwise, payments and unused credit would not be refundable, and we would refund the unused prepaid portion of a paid plan if we discontinued the Service.
5. Your licence, and updates
We grant you a personal, revocable, non exclusive, non transferable licence to install and use Alma on Macs you own or control, for your own use.
Alma updates itself. Each update is verified before it installs, and by using a distributed build you consent to automatic updates. You may turn automatic checks off in the app.
Except where the law expressly allows it, you may not rent, sell, sublicense, reverse engineer or circumvent the Service, or use it to build a competing product.
6. Your content
"Your Content" means what you give Alma and what Alma produces from it: your voice, transcripts, the text Alma writes and edits, instructions you speak and the text they act on, context Alma reads with your permission, what Alma learns for you, and anything you send us.
You own Your Content. To the extent we hold rights in what Alma produces from your input, we assign them to you so far as the law allows.
You grant us a worldwide, non exclusive, royalty free, sublicensable licence to host, store, process and transmit Your Content only as needed to operate the Service for you and keep it safe and working. We use Your Content to improve our models only if you choose the setting that allows it (section 7).
We do not sell Your Content or your personal information, and we do not use it for advertising.
Please do not speak passwords, payment card numbers, government identifiers or third party confidential information into Alma.
7. Your data choices
You choose what Alma shares with us, in Settings:
- Full data. Everything syncs to our cloud: your voice, your transcripts, your history and what Alma has learned for you, and may be used to evaluate and improve Alma.
- Usage data. Only numbers reach us: counts, timings and outcomes. Your transcripts stay on your Mac.
- Zero data retention. Nothing reaches us. What Alma keeps stays on your Mac, and requests are processed to answer them and then discarded.
You can change your choice at any time, and changing it takes effect immediately for anything new. Withdrawal cannot reverse work already done with material shared earlier. The Privacy Policy has the detail.
Whichever setting you choose, our providers are contractually barred from training on your content and from retaining it beyond answering your request.
8. Acceptable use
You agree not to, and not to let anyone else:
- break the law, or infringe anyone's intellectual property, privacy, publicity or contractual rights;
- record, transcribe or process other people's speech without the consent your jurisdiction requires;
- work in systems or accounts you are not authorised to use;
- create or distribute unlawful, harassing, defamatory or hateful content, material that sexually exploits minors, or content promoting violence, self harm or terrorism;
- impersonate anyone or misrepresent your affiliation;
- probe or attack the Service, evade quotas, metering or authentication, or reach another user's data;
- use the Service or its output to train a competing product;
- resell, proxy or share our hosted access with third parties;
- scrape the Service, introduce malware, or interfere with the infrastructure behind it;
- use output to make decisions about people that would be unlawful or discriminatory.
We may investigate suspected violations, and may remove content, throttle, suspend or terminate access.
9. Permissions, and what Alma produces
Alma needs macOS permissions to work, and you can withdraw them in System Settings at any time.
You are responsible for what ends up in your documents and messages. Alma acts where your caret is. Review what it produced before you send, save, sign or rely on it.
10. Machine generated output
Alma uses speech recognition and language models. Output can mishear you, can be wrong, can edit in ways you did not intend, and can resemble content produced for others. We make no promise that output is accurate, complete, unique, copyrightable or free of third party rights, and it is not professional advice. You decide whether it is fit for your purpose.
11. Beta features
Some capabilities are labelled experimental, beta or preview. They can be less reliable, can change, and can be withdrawn without notice. Where you join a private programme, keep non public information about it confidential.
12. Feedback
If you send us ideas, suggestions or bug reports, you grant us a perpetual, irrevocable, royalty free right to use them for any purpose, without obligation to you. This does not affect your ownership of Your Content.
13. Our intellectual property
Alma, Memfold, our names, logos, designs, interfaces, software and documentation are owned by or licensed to Memfold AI Inc. Nothing in these Terms grants you any right in them beyond using the Service as permitted.
If you believe anything we make available infringes your copyright, write to support@memfold.ai with enough detail to identify the work, and we will review it.
14. Third party services
The Service depends on third parties for identity, hosting, processing, storage, analytics, distribution and email. They act under agreements with us but operate their own systems under their own terms, and we are not responsible for services outside our control. The Privacy Policy lists the categories.
15. Privacy
The Privacy Policy explains what we collect, what stays on your Mac, what reaches us under each setting, how long we keep it, who processes it, and the rights you have. Please read it.
16. Availability and changes
We do not promise that the Service will be available, uninterrupted or error free. We may change, suspend, limit or discontinue any part of it. Where a change is material and adverse to you, we will give reasonable notice if we can. Keep your own copies of anything important.
17. Suspension and termination
You may stop using Alma at any time, and may ask us to close your account at support@memfold.ai.
We may suspend or terminate access, with notice where practicable, for breach of these Terms, for legal, security, safety or fraud risk, when a programme ends, after twelve months of inactivity on a free account, or if we discontinue the Service.
On termination your right to use the Service ends and any remaining allowance lapses. Data on your Mac stays there until you delete it. Sections that should survive by their nature, including 6, 10, 12, 13, 18, 19, 20, 21, 22, 23 and 25, survive.
18. Disclaimer of warranties
The Service and all output are provided "as is" and "as available." To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non infringement and accuracy. We do not warrant that the Service will be uninterrupted, secure or error free.
Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you, and nothing here limits consumer rights that cannot be waived.
19. Limitation of liability
To the maximum extent permitted by law, neither we nor our affiliates or suppliers are liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data or content, business interruption, or the cost of substitute services.
Our total aggregate liability relating to the Service and these Terms is limited to the greater of the amounts you paid us in the twelve months before the claim and one hundred US dollars (US$100). While Alma is free, that cap is US$100.
Nothing here excludes liability that cannot lawfully be excluded, including, for users with mandatory consumer protections, liability for intent, gross negligence, death or personal injury caused by our negligence, or fraud.
20. Indemnification
To the extent permitted by law you will defend and indemnify Memfold AI Inc., its affiliates and their personnel against third party claims, liabilities, damages, losses and reasonable costs arising from Your Content, your use of the Service, your breach of these Terms or the law, or your infringement of anyone's rights. For users in the EU this does not extend to consequences we caused by our own breach, or to outcomes that were not reasonably foreseeable.
21. Disputes
Talk to us first. Email support@memfold.ai with the dispute and the relief you want. We will try in good faith to resolve it within 60 days.
Arbitration for US residents. If we cannot resolve it, disputes will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in San Francisco, California, or by video or telephone where the rules allow. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for intellectual property infringement or unauthorised access to the Service.
No class actions. Claims must be brought individually. Neither party may bring or take part in a class, collective, consolidated or representative proceeding.
Opting out. You may opt out of arbitration by emailing support@memfold.ai within 30 days of first accepting these Terms, giving your name and the email on your account. Opting out affects nothing else in these Terms.
Everyone else. If arbitration does not apply to you, or you opt out, disputes will be brought exclusively in the state or federal courts in San Francisco, California, subject to any mandatory consumer right to sue or be sued where you live.
22. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict of law rules, and excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection law where you live continues to apply.
23. Export and sanctions
You may not use the Service in breach of export control or sanctions laws, from an embargoed country, or if you are on a restricted party list.
24. Changes to these Terms
We may update these Terms as the Service, our business or the law changes. The date at the top shows the current version. If a change materially reduces your rights we will give notice by email or in the app before it takes effect, and will ask for consent where the law requires it. Changes are not retroactive. Continuing to use the Service after a change means you accept it.
25. General
These Terms and the Privacy Policy are the entire agreement about the Service. If a provision is unenforceable it is limited or severed and the rest stands. Not enforcing a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger, acquisition, financing or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may give notice by email, in the app, or on our website. These Terms create no partnership, employment or agency relationship.
